- Third-Party Materials – External content, software, or assets incorporated into the Deliverables where applicable.
Service Performance
Services are delivered in accordance with the milestones and specifications set out in the Agreement. We apply professional judgment and commercially reasonable efforts in performing our obligations. Delivery timelines may depend on timely cooperation and input from the client.
Proposals and Scope of Work
Unless stated otherwise, proposals remain valid for 30 days from the date of issue. If not accepted within that period, we may revise and resubmit the proposal.
The scope of work is defined in the Agreement. Activities outside the agreed scope require written approval.
Fees and Related Costs
Unless expressly included in the Agreement:
- Third-party expenses are billed separately.
- Reasonable project-related expenses may be charged at cost.
- The client is responsible for applicable taxes related to the Services.
Payment Terms
Invoices are due within five (5) days from the date of issue, unless otherwise agreed in writing. Payment schedules may be milestone-based as defined in the Agreement.
Scope Modifications
All requests to modify the scope must be submitted in writing.
Minor adjustments that do not materially impact timelines or cost may be accommodated without formal amendment. Significant changes affecting deliverables, timelines, or pricing require a supplemental or revised Agreement.
Revised proposals should be accepted within fourteen (14) working days unless otherwise agreed.
Delays and Timeline Adjustments
If delays occur due to the client’s failure to provide required materials, approvals, or feedback, deadlines may be extended on a day-for-day basis.
If delays arise on our side, we will notify the client promptly and take reasonable steps to address them.
Events beyond reasonable control, including circumstances typically classified as force majeure, will not constitute a breach and may result in appropriate extensions.
Review and Acceptance
Before delivery, we conduct internal checks to confirm consistency and alignment with the Agreement.
After submission, the client has seven (7) working days to review the Deliverables and provide written feedback. Revisions within the agreed scope will be addressed within a reasonable timeframe.
If no feedback is provided within the review period, the Deliverables may be considered accepted.
Client Obligations
The client agrees to:
- Provide lawful and accurate materials
- Ensure submitted content does not infringe third-party rights
- Supply materials in a usable format
- Provide timely decisions and approvals
Unless otherwise agreed, final proofreading and content verification remain the client’s responsibility.
Attribution and Portfolio Use
Unless otherwise agreed in writing, we may include a factual attribution reference related to the work performed. We may also display completed work in our portfolio. Neither party will unreasonably prevent accurate factual references.
Confidentiality
Both parties agree to maintain the confidentiality of non-public information exchanged during the engagement.
This obligation does not apply to information that is publicly available, independently obtained without breach, or required to be disclosed by law.
Independent Relationship
outsourcingemail.com operates as an independent contractor. Nothing in these Terms creates a partnership, employment relationship, or joint venture. No exclusivity applies unless explicitly agreed in writing.
We may use subcontractors where appropriate while retaining responsibility for service delivery.
Limitation of Liability
To the extent permitted by applicable law, Services are provided on an “as is” basis. Our total liability in connection with any claim is limited to the amount paid for the specific Services giving rise to that claim.
Intellectual Property Rights
Upon full payment, the client receives a non-exclusive, worldwide, perpetual license to use the Final Deliverables as agreed.
Company Tools, frameworks, and underlying methodologies remain the property of outsourcingemail.com unless expressly transferred in writing. Modification or redistribution beyond the agreed scope is not permitted.
Support and Maintenance
Ongoing support is provided only if explicitly agreed. Additional services may be billed separately. Any warranty may be void if Deliverables are modified by third parties without authorization.
Amendments to These Terms
We may update these Terms and Conditions from time to time. The version published on outsourcingemail.com at the time of use governs the relationship. Continued use of the website or Services indicates acceptance of any revisions.
